Terms of Service

Produrate ("Produrate," "we," "us," "our") is a product-validation service offered under the SolutAI brand and operated by JDJ Invest s.r.o., IČO 25405128, Na Luhách 1559/14, 400 01 Ústí nad Labem, Czech Republic. By creating an account or using Produrate, you agree to these Terms of Service.

Produrate is a business-to-business (B2B) service. To create a company account, you must be at least 18 years old and be acting for, or on behalf of, a business, entrepreneur, or organization — not as a private consumer.

You're responsible for the accuracy of the information you provide when creating an account, and for keeping your login credentials confidential. You're responsible for activity that happens under your account.

When you submit a product for evaluation, you provide a title, description, image, and planned selling price, and choose a bid amount that affects your position in the evaluation queue (see "Bidding and priority" below). Submitted products are reviewed manually before they become active — see "Moderation and rejection."

You retain ownership of the content you submit, including product titles, descriptions, and images. By submitting content, you grant JDJ Invest s.r.o. a non-exclusive license to host, store, reproduce, display, technically process, and distribute that content through Produrate — including via public pages and share links — solely for the purpose of operating and providing the service. You're responsible for making sure you have the rights needed to upload and display the content you submit.

Once a product is approved and made active, its title, description, image, planned price and currency, and aggregate validation information may be displayed publicly through Produrate, including on public leaderboards. See our Privacy Policy for more detail on what does and doesn't become public.

Once active, a product is shown to members of the public (respondents) who indicate their interest and, where applicable, what they'd be willing to pay.

Produrate offers a limited program called Founding 50: the first 50 companies to use Produrate may validate their first product without an initial bid payment. This exception applies only to a company's first product, is limited to a maximum of 50 companies in total, and does not change any other part of the process described in these Terms — a Founding 50 product still goes through the same moderation, the same company-link and community-unlock steps described below, and the same target of 300 validated responses. A Founding 50 product can still receive later top-up payments, which affect its priority exactly like any other product's bid or top-ups (see "Bidding and top-ups" below). We may modify, limit, or end the Founding 50 program for future submissions at any time.

When your product becomes active, it's first made available through your own trusted company share link, which you can share directly with your own audience. Before your product is shown through Produrate's general community distribution — the public evaluation feed, Highest Priority, and Top Rated — it must first receive 10 validated responses collected through that trusted company link.

Once that threshold is reached, community distribution unlocks and your product becomes eligible to be shown to the wider Produrate community, in addition to continuing to accept responses through your own share link. Community-unlock and your bid amount are separate concepts: higher cumulative bids increase your product's priority within community distribution and may affect how quickly it receives responses. They do not change your product's target of 300 validated responses or guarantee a specific completion time.

Each active product targets 300 validated responses.

"Validated" means a response that has passed Produrate's automated integrity checks, intended to filter out abusive, duplicate, or clearly automated activity. Validated does not mean that a respondent's identity has been verified. Produrate does not verify who a respondent is.

Produrate provides community product validation, not representative market research. Responses come from whoever a product happens to reach through Produrate's evaluation flow. Results are not a statistically representative sample of any broader population, are not guaranteed to reflect real customers or your target market, and should not be treated as a substitute for professional market research.

Where a respondent indicates a price ("willingness to pay" or "WTP"), that figure is a self-reported, declared amount only. It is not a purchase commitment, not a guarantee of future buying behavior, and not an offer to buy. It does not establish, and should not be treated as, an optimal or recommended selling price for your product.

When you submit a product, you choose a bid amount, paid before your product is submitted for review, unless you're validating your first product through the Founding 50 program described above. You may add further payments ("top-ups") to an already-active product. Your bid and any top-ups affect your product's position in the evaluation queue relative to other products — generally, a higher total bid gives your product higher priority. The exact method we use to rank and schedule products is proprietary and is not disclosed, and no other company's exact bid amount is ever disclosed to you.

Priority affects how quickly your product is likely to be shown to respondents. It does not change the number of responses your product is targeted to receive, and payment does not buy more than the standard target of 300 validated responses.

Produrate does not guarantee that any product will reach its target number of validated responses by a specific date, or at all. Actual timing depends on factors outside our control, including how respondents choose to interact with the service.

Payments are processed by Stripe via Stripe's own hosted checkout. See our Privacy Policy for what payment-related information we send to and receive from Stripe.

Every submitted product is reviewed manually before it becomes active. We may reject a product at our discretion, including for the reasons described in "Acceptable and prohibited content" below. We'll provide a reason when we reject a product.

If a paid submission is rejected during moderation, we intend to refund the associated successful bid payment(s) through Stripe. Refunds are processed by Stripe and may take some processing time to appear; we don't guarantee an instant refund or a specific number of days for funds to arrive. If a refund attempt initially fails, our team can review and retry it. Refunds are tied to rejected submissions — completing an evaluation is not, on its own, a refund event, and we do not offer general cancellation refunds outside the rejection scenario described here. A Founding 50 product's free initial validation has no payment to refund; this section applies to any bid or top-up payment that was actually made.

You may not submit a product or content that:

• is unlawful;
• infringes someone else's intellectual property or other rights;
• is fraudulent or deceptive;
• involves illegal goods or services;
• contains pornographic or sexually explicit content;
• promotes illegal drugs;
• involves prohibited weapons; or
• otherwise cannot lawfully be displayed or evaluated through Produrate.

We review submissions manually and may reject any product we believe falls into one of these categories, or that we otherwise believe isn't appropriate for the service.

Aside from the content you submit (see "Rights to submitted content"), the Produrate service, including its design, software, and branding, is owned by or licensed to JDJ Invest s.r.o. and is protected by applicable intellectual-property laws.

We aim to keep Produrate available and working correctly, but we don't guarantee uninterrupted or error-free operation, and the service may be unavailable from time to time, including for maintenance.

We may refuse, restrict, or discontinue your access to all or part of Produrate — including specific products or accounts — in cases such as misuse of the service, unlawful use, a security risk, or a violation of these Terms.

Produrate is provided on an "as available" basis. Evaluation results, response counts, and willingness-to-pay figures are provided for informational purposes only. They reflect the community that happened to respond through Produrate, are not representative market research, do not guarantee any commercial outcome or future purchases, and should not be the sole basis for a material business or investment decision. To the maximum extent permitted by applicable law, JDJ Invest s.r.o. is not liable for decisions made based on Produrate's results.

These Terms are governed by the laws of the Czech Republic, without prejudice to any mandatory consumer or other protections that applicable law may separately provide.

We may update these Terms from time to time, for example as Produrate's features change. We'll update the effective date above when we do.
